These Terms and Conditions ("Terms") govern your use of the website operated by Majulah Crest ("we", "us", "our") at majulahc.live and the consulting services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. Definitions
- "Service" — the business consulting services offered by Majulah Crest, including Revenue Stream Analysis, Process Efficiency Review, and Board Advisory and Governance Support.
- "User" / "you" — any person who accesses our website or engages our services.
- "Agreement" — a formal engagement agreement entered into between Majulah Crest and a client for the delivery of a specific service.
- "Content" — all text, data, reports, process maps, and other materials produced by Majulah Crest in the course of an engagement.
- "Website" — majulahc.live and all associated pages.
2. Acceptance of Terms
By using our website or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and accept these Terms in full. These Terms apply to all visitors, enquirers, and clients.
3. Service Description
Majulah Crest provides professional business consulting services to organisations in Singapore. Services are described in detail on our website and are subject to the scope, timeline, and fees specified in a written engagement agreement. Service availability is subject to our capacity at the time of enquiry.
We reserve the right to decline an engagement at our discretion, including where a conflict of interest exists or where the scope falls outside our areas of practice.
4. Engagement Agreements
No consulting service will commence without a signed written engagement agreement. The agreement will set out the scope, deliverables, timeline, fees, confidentiality terms, and any other relevant conditions. In the event of any conflict between these Terms and a specific engagement agreement, the engagement agreement will take precedence.
5. User Responsibilities
When engaging our services or using our website, you agree to:
- Provide accurate, complete, and current information as required for us to perform the services
- Notify us promptly of any changes that may affect the scope or execution of an engagement
- Use the website and any deliverables only for lawful purposes
- Not reproduce, distribute, or commercialise any materials we produce without our written consent
- Not attempt to reverse-engineer, disrupt, or gain unauthorised access to our website or systems
6. Intellectual Property
All intellectual property rights in our website content, methodologies, and templates remain the property of Majulah Crest. Deliverables produced specifically for a client under an engagement agreement (such as process maps and revenue reports) are provided under a limited, non-exclusive licence for the client's internal business use.
Clients may not share, publish, or resell deliverables without prior written consent from Majulah Crest.
7. Payment Terms
Fees for each service are quoted in Singapore Dollars (SGD) as flat-fee amounts, specified in the engagement agreement. Unless otherwise agreed:
- A deposit of 50% is payable upon signing the engagement agreement
- The remaining balance is payable upon delivery of the final deliverable
- Payment is due within 14 days of invoice date
- Late payments may incur interest at 1.5% per month on the outstanding amount
Engagements will not commence until the initial deposit has been received.
8. Cancellation and Refunds
If a client cancels an engagement after the deposit has been paid:
- Cancellation before work commences: deposit refunded less an administrative fee of SGD 50
- Cancellation after work commences: fees payable for work completed to that point; no refund of deposit
- Cancellation of Board Advisory retainer: 30 days written notice required; fees for work delivered during the notice period remain payable
9. Disclaimers
Our services are provided for informational and advisory purposes. While we take care to produce accurate and considered recommendations, we make no representation that implementing our advice will produce specific business results. Consulting recommendations are based on information provided by the client and our professional judgement — they do not constitute legal, financial, or regulatory advice. Clients should seek appropriate specialist advice where required.
10. Limitation of Liability
To the fullest extent permitted by Singapore law, Majulah Crest's total liability to a client for any claim arising from a specific engagement shall not exceed the fees paid for that engagement. We shall not be liable for any indirect, consequential, or incidental losses, including but not limited to loss of revenue, loss of data, or loss of business opportunity.
11. Confidentiality
Both parties agree to treat information shared in the course of an engagement as confidential. Formal confidentiality provisions are included in every engagement agreement. These obligations survive the termination of any engagement.
12. Termination
Either party may terminate an engagement by providing written notice in accordance with the terms of the engagement agreement. We reserve the right to terminate immediately if a client breaches these Terms or the engagement agreement in a material way. Upon termination, fees for work already completed remain payable.
13. Dispute Resolution
In the event of a dispute, the parties agree to first attempt informal resolution through direct communication. If unresolved within 30 days, disputes shall be referred to mediation under the Singapore Mediation Centre rules before any legal proceedings are commenced.
These Terms are governed by the laws of the Republic of Singapore. Any legal proceedings shall be subject to the exclusive jurisdiction of the Singapore courts.
14. General Provisions
- Entire Agreement: These Terms, together with any applicable engagement agreement, constitute the entire agreement between the parties.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that right.
- Assignment: These Terms may not be assigned by a client without our written consent.
15. Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on our website with an updated effective date. Continued use of our website or services after changes constitutes acceptance of the updated Terms. For ongoing engagements, material changes will be communicated directly.
